What is a liquidity event?

Definition

A liquidity event creates an opportunity for founders, employees, or investors to realize value from ownership that was previously hard to sell. Public offerings, acquisitions, and some approved secondary sales can serve this role.

The event does not mean every holder can immediately sell everything. Lockups, taxes, trading rules, market demand, and individual choices affect how much value becomes available and where that money may later be invested.

A liquidity event is when something valuable but difficult to sell becomes easier to turn into spendable money. Before the event, the value may exist mostly on paper.

For example, an employee may own shares in a private company but have no easy buyer. A public offering can create a market where some of those shares may eventually be sold.

What events can create liquidity?

Common examples include a public offering, company acquisition, share buyback, or approved sale on a secondary market.

Does a liquidity event guarantee a particular amount of wealth?

No. The value depends on the final price, ownership amount, restrictions, taxes, market demand, and whether the holder chooses or is able to sell.
